Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your access to and use of the Valkurai platform and API (the "Service"), operated by Tech Compass Pty Ltd (ABN 31 632 578 342), trading as Valkurai ("Valkurai", "we", "us"). By registering for or using the Service, you agree to be bound by these Terms and our Privacy Policy.

If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

2. Description of Service

Valkurai provides a financial governance and firewall layer that evaluates AI agent payment requests against defined policies before they reach a payment processor. The Service:

• Evaluates transaction requests through identity, policy, rules, approval, and payment gates
• Provides notification alerts for FLAGGED and BLOCKED transactions
• Maintains an immutable audit log of all transaction evaluations
• Does NOT process payments, hold funds, or act as a payment processor
• Does NOT guarantee that all harmful transactions will be blocked

Valkurai is a decision layer, not a financial services provider. Use of Valkurai does not constitute a regulated financial service under Australian law.

3. Accounts and Agent Keys

You are responsible for maintaining the security of your account credentials and all agent keys issued to you. Agent keys grant access to payment evaluation — treat them as you would treat payment credentials. You must:

• Not share agent keys with unauthorised parties
• Notify us immediately at security@valkurai.com if you suspect a key has been compromised
• Revoke and regenerate keys that may have been exposed

You are responsible for all activity that occurs using your agent keys, whether authorised by you or not.

4. Acceptable Use

You must not use Valkurai to:

• Facilitate illegal transactions or evade financial controls
• Process transactions on behalf of sanctioned entities or individuals
• Circumvent or test the limits of our intent classification system maliciously
• Transmit personal information (names, addresses, identification numbers) in transaction descriptions
• Resell access to the Service without our written permission
• Interfere with the security, integrity, or availability of the Service

5. Data and Privacy

Your use of the Service is subject to our Privacy Policy. You acknowledge that:

• Transaction descriptions are transmitted to AWS Bedrock (ap-southeast-2) for intent classification via Claude Haiku as described in our Privacy Policy
• You must not include personal information in transaction descriptions
• You are responsible for your own compliance with applicable privacy laws regarding your agents' activities
• We maintain an immutable audit log of all evaluations for the retention period applicable to your tier

5a. Audit Log Retention — EU AI Act Compliance

Valkurai maintains an immutable audit log of all transaction evaluations, approvals, and BLOCKED events. Audit records are retained for a minimum of ten (10) years from the date of creation, as required by EU AI Act Article 9(9) and applicable financial governance regulations. This 10-year retention period applies to all customers regardless of geographic location or tier. Upon request, you may export your audit logs in standardised formats suitable for regulatory submissions.

6. Fees and Payment

Free tier access is provided at no charge subject to usage limits. Paid tiers are billed monthly via Stripe. Prices are in AUD unless otherwise stated and are exclusive of GST. GST applies to Australian customers.

We reserve the right to change pricing with 30 days' notice. Your continued use after the notice period constitutes acceptance of new pricing. You may cancel before the effective date to avoid new pricing.

Fees are non-refundable except as required by Australian Consumer Law.

7. Service Levels

We target the following uptime for paid tiers:

• Pro tier: 99.5% monthly uptime (excludes scheduled maintenance)
• Enterprise tier: 99.9% monthly uptime (excludes scheduled maintenance)

Uptime is measured at the API level and reported via our status page at status.valkurai.com. Service credits for SLA breaches (if any) are our sole obligation for downtime. Credits do not apply if downtime is caused by your systems, third-party services, or events beyond our reasonable control.

8. Limitation of Liability

Valkurai evaluates transactions based on defined policies and AI classification. We do not guarantee that all harmful, fraudulent, or non-compliant transactions will be blocked. You remain responsible for:

• Setting appropriate policies for your agents
• Monitoring alerts and taking action on FLAGGED transactions
• The actions of your AI agents and the transactions they initiate

To the maximum extent permitted by law, Valkurai's total liability for any claim arising from your use of the Service is limited to the fees you paid in the 3 months preceding the claim. We are not liable for indirect, consequential, or punitive damages.

Nothing in these Terms limits liability that cannot be excluded under Australian Consumer Law.

9. Intellectual Property

The Valkurai platform, including all software, algorithms, models, and documentation, is proprietary to Tech Compass Pty Ltd. You receive a limited, non-exclusive, non-transferable licence to use the Service during your subscription period. MIT-licensed SDK wrappers may be used per their licence terms.

10. Termination

Either party may terminate at any time. We may suspend or terminate your access immediately if you breach these Terms, fail to pay fees, or if we reasonably believe your use poses a security risk. On termination, your access ceases and your data is subject to the retention periods in our Privacy Policy. A 7-day presigned export URL is provided at account closure.

11. Changes to Terms

We will notify you of material changes to these Terms by email at least 14 days before the changes take effect. Continued use constitutes acceptance.

12. Governing Law

These Terms are governed by the laws of the Australian Capital Territory, Australia. Disputes are subject to the non-exclusive jurisdiction of the courts of the ACT. Nothing excludes your rights under Australian Consumer Law.
